Corporate Legal Counsel

As they continue to expand our operations, the are seeking a talented Corporate Counsel to join their dynamic team.

Position Overview: They are looking for a Corporate Counsel with a transactional background and expertise in the energy industry to provide comprehensive legal support to their growing organization. The ideal candidate will have experience in renewable energy projects, with a focus on RNG or related sectors. This position offers the opportunity to work closely with internal stakeholders and external partners, contributing to the success of our renewable energy initiatives.

Responsibilities:

1. Provide legal guidance and support on a wide range of corporate and commercial matters, including contracts, transactions, and regulatory compliance.
2. Negotiate and draft agreements related to project development, supply chain, EPC, financing, and strategic partnerships within the renewable energy space.
3. Conduct legal research and analysis to ensure compliance with relevant laws, regulations, and industry standards.
4. Collaborate with cross-functional teams to assess legal risks and develop strategies to mitigate them effectively.
5. Advise on corporate governance matters and assist in corporate structuring and governance initiatives.
6. Handle legal aspects of mergers, acquisitions, and other corporate transactions, including due diligence and documentation review.
7. Stay updated on industry trends, market developments, and legal best practices to inform decision-making and strategic planning.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state bar.
2. Minimum of 5 years of relevant experience practicing law, preferably with a focus on transactional work in the energy sector, specifically construction and/or EPC agreements.
3. Strong understanding of renewable energy regulations, policies, and incentives, with specific knowledge of RNG or related technologies.
4. Demonstrated ability to draft, review, and negotiate complex commercial agreements and contracts.
5. Excellent analytical, problem-solving, and communication skills, with the ability to convey legal concepts clearly and effectively to diverse audiences.
6. Proven track record of managing multiple projects simultaneously and delivering high-quality work under tight deadlines.
7. Collaborative mindset with a proactive approach to identifying legal issues and implementing practical solutions.
