Big rounds are back. VC Funding is flowing. In April, there were 28 fundraising rounds announced with >$10M in funding. We've seen private market (pre-launch) deals valued >$3B recently. 2,725 venture firms disappeared over the last two years. To be better than average, you need to be different than average. To make money, you need be right when others are wrong. The same applies to choosing fund managers, and understanding the fund models you’re investing in. Inception funds and pre-seed institutions are a different product for allocators than early stage VC funds. Different underlying math. How to Profit by Divesting from Companies with Anti-Israel Stances As savvy investors, we must always be alert to the implications of a company's political stance on its financial health. Take, for instance, hims & hers, whose CEO, Andrew Dudum, recently made a controversial statement about hiring pro-Palestinian protesters just days before a potentially underwhelming quarterly earnings report. This statement, coinciding with a 5% drop in share value—erasing $100 million in market equity—raises the suspicion that it might be a psychological maneuver by a CEO fearing for his job ahead of poor earnings results. Given hims & hers' history of underperformance, with shares gaining only 8.32% since its IPO compared to a 23.33% increase in the S&P 500 and similar growth in the Nasdaq, investors could have seen better returns elsewhere. Furthermore, analysts are also showing signs of concern. Recently, Jefferies downgraded hims & hers from 'Buy' to 'Hold' and reduced the price target to $15 from $17, signaling a cautious stance on the company's growth prospects. This downgrade, coupled with the anticipated poor earnings, paints a troubling picture for the future of hims & hers. Additionally, the related Supernova festival tragedy on 10/7, where victims mirror the typical hims & hers customer base, might further alienate its clientele. Customers may sympathize more with the victims than with a company perceived to be exploiting political events to distract from business failures. This scenario suggests potential for increased customer churn and a continued decline in share value, making it a critical time for shareholders to consider divesting. For those open to risk, short selling could capitalize on anticipated downturns.

So you missed the 83(b) election, which is holding you back from raising VC money? Here's what you can do: Unfortunately, you can't file a late Section 83(b) election because the Internal Revenue Code requires it to be done within 30 days from the Board consent approving the stock grant subject to vesting. There are no perfect fixes, but here are a few things you can try: 1. Cancel the Stock Grant and Issue New Stock: You can cancel the original stock grant and give yourself new stock instead. Just make sure to avoid any funny business like backdating the grants, and be careful not to raise any red flags with the IRS. To make the new grant different from the old one, you could give out stock options instead, change the vesting schedule, or adjust the number of shares. 2. Remove the Vesting Schedule: Another option is to scrap the vesting schedule from the stock agreement altogether. I like this option, but remember that when you're trying to get venture funding, they might want to put a new vesting schedule in place. That's pretty standard. But before that happens, there's a risk: a founder with stock that doesn't have a vesting schedule might just up and leave, holding onto their stock. It's a real risk especially when there are multiple co-founders. While missing the 83(b) election deadline does come with some tax risks, these options could help you minimize future tax problems. Eh.. it's complicated? Preseed is clearly mispriced compared to A. Implies 70% die off which is grossly optimistic, plus 2-3yrs of extra duration. Longer for less = bad deal. And that's before we account for strong survivorship bias in the data, most cos at the earliest stages don't ever mature enough to use Carta. The real problem is actual compensation distribution is non-ergodic. Averages are not helpful, as compensation is not distributed on average. A really great adviser at the earliest stages can add a multiple to the value of the company, but it's hard to tell who's useful, and the average is comp very unattractive, on average. This leads to a shortage of truly committed + good advisers. ***TL;DR*** Startups who are successful will 'overpay' for good advisers, while startups that are unsuccessful will 'underpay'. Should you ask a VC to sign your NDA before sharing information about your startup? Check out my latest Youtube video to hear my perspective on this divisive topic. I cover: - the reasons a VC will not sign your NDA - why its a bad tactic to ask - when its appropriate to ask Many startups thrive on outcompeting their peers through innovation. Its understandable that many startup founders will want to jealously guard information about their innovation, product, and business. But its not a good strategy to ask for an NDA because it creates unnecessary barriers and has very little utility in the early stage of the fundraising process and very hard to enforce. Also, there are ways to mitigate the risks of sharing sensitive info. I am not a lawyer, and nothing I say in this video should be construed as legal advice.
