In today's Spellbook #Spellfluencer Chronicles: We regularly use the Goodwin LLC Agreement template on Founders Workbench for our clients' multi-member LLCs electing partnership taxation. Today, a client asked me to explain some seemingly innocuous boilerplate that reference Internal Revenue Code Section 6226. I had to give a humbling "I'm not sure, and I'll need to get back to you on that." Thanks to Spellbook's Explain to a 5 Year Old tool (in this case, I was the 5 year old), I was able to stitch together an explanation in less time than it took me to write the post you're currently reading. 🙌

Governor Scott has vetoed Vermont's H 121, which included both a comprehensive privacy law and an age-appropriate design code. The veto cited concerns over the bill's private right of action and ongoing legal challenges to California's similar design code. On April 7, 2024, US Senate Commerce Committee and House Energy and Commerce Committee unveiled the American Privacy Rights Act of 2024 (APRA), a comprehensive privacy bill that, if enacted, would set significant data privacy and security standards. The APRA would largely preempt similar comprehensive privacy laws enacted by individual states in the last few years. The APRA would also provide individuals with a limited private right of action to seek monetary and other relief for certain violations by covered entities. Although the APRA is not likely to pass in the current Congress, the bipartisan effort suggests future comprehensive federal legislation. #dataprivacy
